Please read these Terms carefully. By accessing or using this website, you agree to be bound by them. These Terms of Use ("Terms") govern your access to and use of this website, located at davedempseyrealtor.com (the "Site"), published by David M. Dempsey ("Dave," "we," "our," or "us"), a Realtor and licensed auctioneer working with The Carlin Co., Realty & Auctioneers (the "Brokerage"). By accessing or using the Site in any way — including browsing, submitting a form, or using any calculator, quiz, or interactive tool — you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not access or use the Site.

1. Eligibility

The Site is intended for use by individuals who are at least 18 years old and legally capable of entering into binding agreements. By using the Site, you represent that you meet this requirement.

2. No Brokerage or Agency Relationship Created by Website Use

Browsing the Site, reading blog content, submitting a contact form, using a calculator or quiz, or otherwise interacting with the Site does not, by itself, create a brokerage relationship, an agency relationship, a fiduciary relationship, or any form of representation between you and Dave or the Brokerage. Under Ohio law, a brokerage relationship is established only through the specific written agreements and disclosures required for that purpose (including any required agency disclosure), signed separately from and independent of your use of this Site. Until such a written agreement is in place, no duty of representation, confidentiality, or loyalty is owed to you based on your use of the Site alone.

If you fill out a form, request a home value estimate, or otherwise provide us your information, that constitutes a business inquiry, and you consent to being contacted about it — by phone, text, or email — as described in Section 15 (Electronic Communications and Text Messaging) and our Privacy Policy.

3. This Website Is Not a Purchase, Listing, or Auction Agreement

Nothing on the Site constitutes an offer to buy, sell, lease, or auction any specific property, nor a binding real estate contract, listing agreement, or auction agreement of any kind. Real estate and auction transactions — buying, selling, listing, and auction sales — are governed exclusively by the separate, signed agreements required under Ohio real estate and auction law (such as a listing agreement, purchase agreement, or auction terms and conditions), not by the Site or these Terms. No transaction is final, and no party is bound, until the applicable written agreement has been fully executed by all parties.

4. General Information Only — Not Professional Advice of Any Kind

All content on the Site — including blog posts, FAQ answers, guides, and every calculator, quiz, or interactive tool on the Site (including but not limited to the home value estimate, mortgage payment, affordability, VA loan, cash-to-close, seller net proceeds, land value, investment property, commercial DSCR, rent-vs-buy, and moving cost calculators, and the auction fit and regional lifestyle quizzes) — is provided for general informational and educational purposes only. It is not financial, legal, tax, accounting, lending, insurance, appraisal, engineering, environmental, or business-valuation advice, and must not be relied upon as a substitute for advice from a licensed or qualified professional (including a lender, real estate attorney, accountant, licensed appraiser, business valuation professional, or insurance agent) who is familiar with your specific situation. You are solely responsible for independently verifying any information on the Site before relying on it or acting on it in any way.

5. Calculators, Quizzes, and Interactive Tools

Every calculator, estimator, and quiz on the Site produces an automated estimate or informal result based on general assumptions, published third-party data where cited, and the specific figures or answers you enter. These tools do not know your actual property, business, credit profile, or financial situation beyond what you type in, and none of them:

  • constitute a pre-approval, loan commitment, underwriting decision, or guarantee that any lender will approve any loan or that any figure shown is achievable;
  • constitute a licensed appraisal, a comparative market analysis, or a formal business valuation;
  • guarantee any particular outcome, sale price, purchase price, rate of return, tax treatment, or degree of personal satisfaction with a result or recommendation;
  • account for every fact relevant to your specific property, business, or situation — including, without limitation, current market conditions, a property's physical condition, title issues, zoning, environmental conditions, or your individual creditworthiness; or
  • replace a walkthrough of a specific property, a review of your actual financial documents, or professional underwriting by a lender.

Quiz-style tools on the Site (for example, a quiz suggesting whether an auction may fit your property, or a quiz suggesting an Ohio region that may match your stated preferences) reflect only the answers you personally selected. They are not objective rankings, do not guarantee you will be satisfied with a suggested result, do not constitute a recommendation that any specific area, property, or transaction structure is "best," and do not use — and are not intended to use — any protected characteristic in generating a result. See also Section 9 (Fair Housing) below.

You use every calculator, estimator, and quiz on the Site at your own risk and expressly agree that Dave and the Brokerage are not responsible for decisions you make in reliance on a result generated by any such tool.

6. Accuracy of Information; No Warranty

We work to keep listing details, service area information, blog content, and other Site content accurate and current, but the Site may include inaccuracies, errors, or omissions, and property details, availability, pricing, tax rates, program rules (including SBA and other government loan program terms), and market conditions can and do change without notice. Any property shown or referenced on the Site may already be sold, under contract, or no longer available. Always confirm current, property-specific, or program-specific details directly with Dave, the relevant government agency, or another qualified professional before making any decision. If you believe any part of the Site is inaccurate, please let us know using the contact details in Section 26.

To the fullest extent permitted by applicable law, the Site and all of its content, calculators, tools, and quizzes are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement, and warranties arising from course of dealing or course of performance. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that any defect will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.

7. Site Availability; Right to Modify or Discontinue

We may add, change, suspend, or discontinue any part of the Site — including any specific calculator, tool, or quiz — at any time, for any reason, without notice. We make reasonable efforts to keep the Site operational, but it is not possible to guarantee 100% uptime; maintenance, upgrades, technical issues, or events outside our control may cause interruptions or outages. To the fullest extent permitted by applicable law, we are not liable for any loss or inconvenience arising from a Site outage, maintenance window, or discontinued feature.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Dave, the Brokerage, or any of their respective owners, agents, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your access to or use of, or inability to access or use, the Site — including any calculator, tool, or quiz result — even if advised of the possibility of such damages. To the fullest extent permitted by applicable law, the total aggregate liability of Dave and the Brokerage for any claim arising out of or relating to the Site or these Terms will not exceed one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above limitations may not apply to you. In that case, liability will be limited to the fullest extent permitted by applicable law.

9. Fair Housing

Dave Dempsey is committed to fair housing. We do not discriminate on the basis of race, color, religion, sex, national origin, familial status, disability, or any other class protected under federal, Ohio, or local fair housing law, in any aspect of the services described on this Site, including in the design or operation of any calculator or quiz result.

10. MLS and IDX Data (Where Applicable)

If and when the Site displays property listing data sourced through Internet Data Exchange (IDX) or a Multiple Listing Service (MLS), that data is deemed reliable but is not guaranteed accurate by Dave, the Brokerage, the applicable MLS, or any listing brokerage, and is subject to change, prior sale, correction, or withdrawal without notice. Any such listing data is provided for your personal, non-commercial use only. Listing information supplied by a brokerage other than the Brokerage may be identified as such where required by MLS rules. Any square footage, lot size, or other measurement shown is approximate and should be independently verified.

11. No Affiliation With Third-Party Platforms

Dave and the Brokerage are independent real estate and auction professionals. Neither this Site nor Dave's services are affiliated with, sponsored by, endorsed by, or officially connected to Google LLC, Meta Platforms, Inc. (including Facebook and Instagram), LinkedIn Corporation, Zillow, Inc., Realtor.com (Move, Inc.), Homes.com (CoStar Group), RateMyAgent, or any other third-party platform, app, or service referenced, linked, or embedded on the Site (for example, Google Maps, Google Analytics, or a chat or scheduling widget). All trademarks, service marks, trade names, and logos of those companies belong to their respective owners. Where used on the Site at all, they are used solely to identify or link to Dave's public profile, page, or review listing on that platform, and that use does not imply any partnership, sponsorship, joint venture, or endorsement between Dave, the Brokerage, and that company.

12. Limited License to Use This Site

Subject to these Terms, we grant you a limited, personal, non-exclusive, revocable license to access and use the Site solely for your own personal, non-commercial use in connection with evaluating or pursuing real estate or auction services. You may not use the Site or its content for any commercial purpose without our prior written consent.

13. User Conduct

You agree not to, and not to attempt to:

  • use the Site for any unlawful purpose or in violation of any applicable local, state, or federal law;
  • submit false, misleading, or fraudulent information through any form, calculator, or quiz on the Site;
  • gain unauthorized access to any portion of the Site, its underlying systems, or any related third-party system (including our CRM or analytics providers);
  • interfere with or disrupt the operation of the Site, including through the introduction of malicious code; or
  • scrape, harvest, or systematically extract data from the Site without our prior written consent.

14. User Submissions (Reviews, Testimonials, and Other Content)

If you submit a review, testimonial, comment, or other content to us — whether through a form, email, or a third-party review platform we later reference or display on the Site — you represent that the content is truthful and your own to give, and you grant Dave and the Brokerage a worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, display, and publish that content, in whole or in part, on the Site and in related marketing materials. We do not pay for submitted content, do not claim ownership of it, and do not guarantee that any particular submission will be published or will remain published indefinitely.

15. Electronic Communications and Text Messaging

If you submit a form or opt in to text messaging through the Site, you consent to receive electronic communications — including phone calls, emails, and text messages — from Dave related to your inquiry. Message and data rates may apply, message frequency varies, and you may opt out of text messages at any time by replying STOP. Full details, including your rights and our obligations under applicable telemarketing and messaging law, are set out in our Privacy Policy, which governs text messaging consent and is incorporated into these Terms by reference. Consent to receive text messages is never required to purchase any goods or services from Dave or the Brokerage.

16. REALTOR® Trademark

The term REALTOR® is a registered trademark of the National Association of REALTORS® and is used on the Site only in accordance with NAR's trademark rules and only while membership is current.

17. Intellectual Property

All content on the Site — including text, graphics, logos, photographs, video, and the underlying design and code of every calculator, tool, and quiz — is the property of Dave Dempsey, the Brokerage, or their respective licensors, and is protected by applicable U.S. and international intellectual property laws. Except for your own personal, non-commercial use of the Site as intended, you may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content on the Site without our prior written permission. We reserve the right to enforce our intellectual property rights to the fullest extent of the law.

Copyright complaints: If you believe content on the Site infringes your copyright, send us, using the contact details in Section 26, (1) a description of the copyrighted work you believe is infringed, (2) the specific material you believe is infringing and where it is located on the Site, (3) your contact information, and (4) a statement, made in good faith and under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf. This is general guidance only, not legal advice on how to file a formal DMCA notice — consult the U.S. Copyright Office's website for the formal requirements.

18. Third-Party Links and Services

The Site may link to, embed, or rely on third-party websites, platforms, or services — for example, The Carlin Co., Realty & Auctioneers, Google Maps, social media platforms, review platforms, our customer relationship management (CRM) and chat provider, and analytics providers. We do not control and are not responsible for the content, accuracy, availability, or privacy practices of any third-party site or service, and inclusion of a link or integration does not imply our endorsement of it. Your use of any third-party site or service is governed by that third party's own terms and privacy policy, and any dealings you have with a third party found through the Site are solely between you and that third party.

19. Accessibility

We aim to make the Site usable by as many visitors as reasonably possible. See our Accessibility statement for details and how to report a barrier you encounter.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Dave, the Brokerage, and their respective owners, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

21. Termination of Access

We may restrict, suspend, or terminate your access to all or part of the Site at any time, for any reason, with or without notice — including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution — will survive.

22. Privacy

Use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

23. Dispute Resolution; Governing Law; Venue

Before filing any formal claim relating to the Site or these Terms, you agree to first contact us using the details in Section 26 and describe the dispute, so we have a fair opportunity to resolve it informally.

If a dispute is not resolved informally, you and we agree that any legal proceeding relating to the Site or these Terms will be conducted only on an individual basis, and not as part of any class, collective, representative, or similar proceeding. To the fullest extent permitted by applicable law, you and we each waive any right to a jury trial in connection with any such dispute.

These Terms, and any dispute arising out of or relating to the Site or these Terms, are governed by the laws of the State of Ohio, without regard to its conflict-of-law principles. Any legal action or proceeding relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

24. Severability; No Waiver; Entire Agreement; Assignment

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding use of the Site and supersede any prior agreements regarding the Site. You may not assign or transfer these Terms, or any right or obligation under them, without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or transfer of business assets.

25. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. If we make a material change, we may provide additional notice, such as a notice on the Site.
